1. Agreement to Terms
Welcome to YUTANK! These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you” or the “Client”), and HUIZHOU HONEYCOMB AQUACULTURE EQUIPMENT CO., LTD (“we,” “us,” “our,” or the “Company”), concerning your access to and use of the https://www.kelink.net/ website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”).
Our brand, YUTANK, specializes in the research, manufacturing, and export of Recirculating Aquaculture System (RAS) equipment. By accessing the Site, you agree that you have read, understood, and agree to be bound by all of these Terms and Conditions. If you do not agree with all of these terms, then you are expressly prohibited from using the Site and you must discontinue use immediately.
2. Intellectual Property Rights
Unless otherwise indicated, the Site is our proprietary property. All source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”), including our brand name YUTANK, are owned or controlled by us or licensed to us. We hold numerous patents and trademarks for our products and technologies. The Content and the Marks are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of the People's Republic of China and international conventions.
The Content is provided on the Site “AS IS” for your information and personal use only. No part of the Site, no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.
3. Products and Services
We offer a wide range of products and services, including but not limited to:
Recirculating Aquaculture Systems (RAS): Turnkey and modular systems for various aquaculture scenarios.
Aquaculture Equipment: Including PP fish tanks, galvanized steel tanks, drum filters, protein skimmers, biofilters, oxygen generators, UV sterilizers, and related accessories.
Customization Services (OEM/ODM): We provide flexible customization services based on client needs, drawings, or specifications, including custom tank sizes, system design, and component modifications.
Technical Support & After-Sales Service: We provide installation manuals, remote video support, and on-site commissioning for large projects, along with rapid spare-parts shipping.
We reserve the right to modify or discontinue any product or service at any time without prior notice. All descriptions of products or product pricing are subject to change at any time without notice, at our sole discretion.
4. Quotations and Orders
4.1. Requesting a Proposal: To receive a customized proposal and quotation, you must provide detailed project information as requested on our Site, including but not limited to target species, water volume, stocking density, and site conditions.
4.2. Quotations: All quotations provided by us are invitations to treat and not binding offers. A quotation is valid for the period stated therein or, if no period is stated, for thirty (30) days from the date of issuance.
4.3. Orders: An order constitutes a formal offer by you to purchase the products and/or services specified in the quotation. No order shall be considered accepted by us until a formal Sales Contract is signed by both parties or we issue a written acknowledgement of the order.
5. Payment Terms
Payment terms will be specified in the formal quotation and Sales Contract. Typically, this may include an initial deposit upon confirmation of the order, with the balance due before shipment or as otherwise agreed in writing. All payments shall be made in the currency specified in the invoice. The client is responsible for any bank charges, fees, or taxes associated with the payment.
6. Shipping and Delivery
6.1. Trade Terms: We offer various global delivery options under internationally recognized trade terms (e.g., FOB, CIF, DDU, DDP), which will be specified in the Sales Contract.
6.2. Lead Times: Standard devices typically ship within 5-10 working days. Custom projects have lead times of 20-35 days or as specified in the contract. While we strive to meet these timelines, we are not liable for delays caused by factors beyond our reasonable control (e.g., customs clearance, shipping carrier delays, force majeure events).
6.3. Risk of Loss: The risk of loss or damage to the products passes to you upon delivery in accordance with the agreed trade terms. It is your responsibility to inspect all shipments upon arrival and report any damage to the carrier and to us immediately.
7. Warranty and After-Sales Service
7.1. Standard Warranty: We provide a standard one (1) year warranty on core equipment (e.g., control systems, pumps, blowers) and a three (3) year warranty on structural components (e.g., PP tanks, filter housings). The warranty period begins from the date of shipment. This warranty covers defects in materials and workmanship under normal use.
7.2. Exclusions: The warranty does not cover: * Damage resulting from improper installation, misuse, neglect, or accident. * Normal wear and tear or consumable parts (e.g., UV lamps, filter media, gaskets). * Any product that has been modified or repaired by unauthorized personnel.
7.3. Claims: To make a warranty claim, you must contact our after-sales service team with proof of purchase and a detailed description of the issue. Our obligation under this warranty is limited to, at our option, repairing the defective part, replacing it, or providing the necessary spare parts.
8. Limitation of Liability
To the fullest extent permitted by law, in no event will HUIZHOU HONEYCOMB AQUACULTURE EQUIPMENT CO., LTD, our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Site or our products and services.
Specifically, as our equipment supports live aquatic organisms, we shall not be liable for any loss of livestock, loss of production, or any other consequential damages resulting from equipment malfunction or failure. Our entire liability for any claim arising out of or in connection with these terms or the sale of our products shall not exceed the price paid for the specific product that gives rise to the claim.
9. Indemnification
You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of your use of our products or your breach of these Terms and Conditions.
10. Governing Law and Dispute Resolution
These Terms and Conditions and your use of the Site and our services are governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from or related to these terms shall be submitted to the exclusive jurisdiction of the competent courts located in Huizhou City, Guangdong Province, China.
11. Modifications and Interruptions
We reserve the right to change, modify, or remove the contents of the Site at any time or for any reason at our sole discretion without notice. We also reserve the right to modify or discontinue all or part of our services without notice at any time.
We cannot guarantee the Site will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Site, resulting in interruptions, delays, or errors.
